Terms of Service

Your rights and responsibilities when using Caire

Version 4.0

Please read these Terms carefully. They explain what Caire does and, just as importantly, what it does not do. Sections , and limit our liability to you and set out important disclaimers about the accuracy of your scores. By using Caire you accept them.

01

Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the Caire website, applications, and related services (collectively, the “Services”). Caire is operated by Lemniscate Labs Ltd, a company registered in England and Wales, Company No. 17184093 (“Caire”, “we”, “us”).

By creating an account, accessing, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

We may update these Terms from time to time. Material changes may be notified in-product, by email, or both. Continued use after the effective date of updated Terms constitutes acceptance. If you do not accept an update, your remedy is to stop using the Services and delete your account.

02

What Caire Is

Caire connects the health data you already generate to how you actually feel. You choose which sources to connect. Caire reads them, shows you daily scores for your mental state, recovery, sleep, and energy, and surfaces patterns between them, for example that your mood check-ins tend to be lower on days following short sleep.

Alongside the scores, the Services include:

  • Mood check-ins, a journal, and daily prompts in the morning and evening
  • Wellbeing questionnaires that show you your own scores over time
  • A reflection chat that asks questions and helps you think things through
  • Breathing, grounding, and sleep techniques, and a library of general articles
  • A directory of support options, sorted by what you say you want
  • A factual summary you can export and take to a GP or counsellor
  • Crisis resources, always available and never behind a login

Caire shows you your own patterns. It does not tell you what they mean about your health, and it does not decide anything for you. Caire is not a healthcare provider, and using the Services does not create a therapist-patient, doctor-patient, or any other professional-client relationship between you and Caire.

The Services are provided for your personal, non-commercial use only. You may not resell, redistribute, or use them to provide a service to anyone else without our prior written agreement.

03

Your Scores & Insights

Caire calculates daily scores from the data you have chosen to give it, such as your mood check-ins and health data from sources you connect. Insights are descriptive correlations in your data. They describe what your data did. They are not conclusions about your health.

Scores and insights are not guaranteed to be accurate, complete, current, or error-free, and must not be relied upon as if they were.

Scores are calculated from whatever data is available on a given day, and that data can be missing, delayed, duplicated, or simply wrong. A wearable may fail to sync, a night’s sleep may be missed, a sensor may misread, a source may go offline. Measurements taken by consumer devices are subject to limitations including poor signal quality, incorrect wear, and interrupted recording. A change in a score is not evidence that anything has changed in your health, and the absence of a change is not evidence that nothing has.

Scores are measured against typical ranges, and they may be misleading if your physiology differs significantly from those ranges, including because of a medical condition, medication, pregnancy, age, disability, or shift work. We make no representation that any score is meaningful for you specifically.

Caire may also suggest actions, such as taking a walk, getting daylight, or trying a breathing exercise. These are general wellbeing suggestions offered to everyone in similar circumstances. They are not prescribed for you, are not based on any assessment of your condition, and may not be suitable for you. Caire is not a healthcare provider, personal trainer, dietitian, or fitness instructor. You are responsible for deciding whether any suggested activity is safe and appropriate for you, and for obtaining medical clearance where that is sensible. We are not responsible for any result you do or do not obtain from using the Services.

We may change how scores are calculated at any time. Scores are not comparable across versions of the Services, across devices, or between users.

04

Not a Medical Device, and Not Medical Advice

Caire is not a medical device and does not provide medical advice. The Services are not a substitute for professional medical advice, diagnosis, or treatment, and must never be used as one.

Except where a specific feature is expressly identified in the product as regulated, and is described there with its own intended use, the Services are not intended to diagnose, prevent, monitor, treat, or alleviate any disease, injury, condition, or disability, and must not be used to do so. All content in the Services is for general wellbeing and informational purposes only.

You acknowledge and agree that:

  • No diagnosis: Nothing Caire shows you is a diagnosis, a screening result, or a clinical risk assessment. A low score does not mean you have a condition, and a high score does not mean you do not.
  • No treatment: Caire does not deliver therapy and does not replace professional therapy, psychiatry, counselling, or medical care.
  • Not monitoring: Health and wearable data shown in Caire is not medical monitoring. It will not detect a medical condition, will not alert you to one, and must not be used to manage one.
  • AI limitations: AI output may be inaccurate, incomplete, outdated, or unsuitable for your situation, and may occasionally be wrong in ways that are not obvious.
  • Never delay care: You should never disregard professional medical advice, or delay seeking it, because of anything you have seen or heard in Caire.
  • Not for emergencies: The Services are not intended for emergency or life-threatening situations. If you are in crisis, at risk of self-harm, or believe someone may be in immediate danger, contact emergency services immediately. Numbers are listed at the foot of this page.

If you have any medical question or concern, speak to your doctor or another qualified healthcare professional.

05

Eligibility, Age Verification & Registration

18+ only: You must be at least 18 years old to use Caire. By using the Services, you represent and warrant you are 18 or older and have the legal capacity to enter into these Terms.

Age verification: We require age self-attestation and age-range collection at onboarding, and may use additional verification steps where reasonably necessary. If we reasonably believe an account is used by or for a minor, we may suspend or terminate access immediately and without notice.

Parental use policy: Parents and guardians may use their own account for themselves, but may not create, share, or operate accounts for minors and may not submit a minor’s personal health information through the Services.

Account registration: You must provide accurate information and keep your credentials confidential. You are responsible for all activity under your account, including activity by anyone you allow to use it. Tell us promptly if you believe your account has been compromised.

Equipment and connectivity: Use of the Services depends on a compatible device, a supported operating system, and an internet connection. Obtaining and maintaining these, and paying any data charges, is your responsibility.

06

Cost, Payment & Cancellation

Caire does not currently charge individuals. You are not asked for payment details and no fee is taken from you. Where an organisation has arranged access for you, that organisation pays us under a separate contract and you pay nothing. See section 15.

The rest of this section applies only if we introduce a paid plan for individuals and you choose to buy it. We will tell you the price and what it includes before you pay.

  • Your 14-day cancellation right: As a consumer you may cancel within 14 days of buying, for any reason, and get your money back. If you ask us to start your subscription immediately within that period, you keep the right to cancel but we may charge you a proportionate amount for what you used before cancelling. If you ask for immediate access to downloadable content and acknowledge at that point that you are giving up the cancellation right for it, that right is lost for that content. Email contact@caire.dev to cancel, or use the cancellation option in Settings.
  • Renewal: Subscriptions renew automatically at the end of each period at the then-current price until you cancel. We will remind you before a renewal charge and tell you how to stop it.
  • Price changes: We may change our prices and plans at any time. We will give you reasonable notice by email before a change takes effect. If you do not want to pay the new price, cancel before it applies.
  • Promotions: We may offer promotional, introductory, or time-limited discounts. Unless stated otherwise, a discount applies only for the stated period, is not transferable, may not be combined with other offers, and may be withdrawn or amended for future periods. When a promotional period ends, your fee reverts to the then-current standard price. That reversion is not a price change and needs no further notice beyond the terms of the offer.
  • Cancelling later: You can cancel at any time. Cancellation takes effect at the end of your current paid period, and you keep access until then. We do not give partial refunds for an unused part of a period, except where the law requires it or where we have got something wrong.
  • Failed payment: If a payment fails we may retry it and, if it keeps failing, suspend the paid features. Your account and your data are not deleted for non-payment.
  • App store purchases: If you buy through the Apple App Store or Google Play, their billing, cancellation, and refund rules apply as well as these Terms, and you may need to cancel through them rather than through us.

Nothing in this section affects your statutory rights as a consumer.

07

Data You Choose to Connect

Every data source in Caire is optional, off until you turn it on, and can be turned off again. None of them is required to use the Services. Depending on your device, you may be able to connect:

  • Apple Health or Health Connect on your phone, and wearables such as WHOOP, Oura, Garmin, Fitbit, and Polar
  • Your calendar, for how busy your day was. Caire never reads the titles, attendees, notes, or locations of your events
  • Screen time and notification counts on Android, for usage patterns
  • Your approximate location, used only to work out your daylight hours and local air quality
  • Heart-rate monitoring from a smartwatch, if you turn on stress detection

Some of what you log stays on your phone. Cycle tracking and your journal entries are held in the app on your device. If you turn on behaviour sync, we receive numbers derived from your journal and nutrition logs. The logs themselves stay with you. Our Privacy Policy sets out exactly what leaves your device and what does not.

You are responsible for what you connect. You confirm that you are entitled to share any data you connect, and that it relates to you. Do not submit health data about another person.

Disconnecting deletes. Disconnecting a health or wearable source stops any further reading immediately and erases the data Caire holds from that source. Data already used to calculate a past score cannot be retrospectively removed from that calculation.

08

Third-Party Services & Data Sources

Caire depends on services and devices operated by other companies, including Apple Health, Google Health Connect, wearable manufacturers, and their APIs (together, “Third-Party Sources”). We do not control any of them.

  • We do not verify their data: We take what a Third-Party Source gives us and display or process it. We do not independently check whether it is accurate, complete, or attributed to the right day, and we are not responsible for errors originating with them.
  • They can change or stop at any time: A Third-Party Source may alter its data, restrict its API, deprecate a metric, or withdraw access without notice to us. If that happens, some scores or features may become incomplete, delayed, or unavailable. We are not liable for that.
  • Their terms govern their products: Your use of any device, app, or account belonging to a Third-Party Source is governed by that company’s own terms and privacy policy, which you should read. Linking to or integrating with a Third-Party Source is not an endorsement of it.
  • Onward sharing is outside our control: If you direct us to send your data somewhere, or you export a summary and share it, what the recipient does with it is between you and them.
09

Reflection Chat & AI Output

Caire includes a chat you can use to think things through. It asks questions, reflects back what you have said, and points you to general information and support options. It is a bounded system, not an open-ended chatbot, and it will not offer a diagnosis or a treatment plan.

You are always talking to an AI. We tell you this on entry and design the product so it is never ambiguous. Nobody is reading your messages in real time, and no clinician is on the other end. Caire cannot detect that you need help and fetch it.

You can choose a conversational style, such as a more direct or a more exploratory approach. These settings change how Caire talks to you. They do not mean you are receiving that form of therapy.

AI output can be wrong. It may be inaccurate, incomplete, repetitive, or unsuitable, and it may occasionally state something confidently that is not true. It may also be similar or identical to output shown to another user. You retain rights in what you write. You must not present AI output as advice from a human professional, and you use it at your own risk.

You acknowledge and agree that numerous limitations apply to AI technology and the output it generates, including that: (i) it may contain errors or misleading information and may not be accurate or reliable; (ii) it is based on predefined rules and algorithms that lack the ability to think creatively, which can result in repetitive or formulaic content; (iii) it can struggle with the nuances of language, including slang, idioms, and cultural references, which can result in output that is out of context or does not make sense; (iv) it does not have emotions and cannot understand or convey emotion the way humans can; (v) it can perpetuate biases present in the data used to train it, which can result in output that is discriminatory or offensive; (vi) it can struggle with complex tasks that require reasoning, judgement, and decision-making; (vii) the data used to train it may be of poor quality or biased, which will negatively affect the accuracy and quality of output; and (viii) output can lack the personal touch of content created by humans.

AI is not a human and is not a replacement for human interaction or advice. We do not guarantee that any response will be helpful or accurate, and generative AI is known to hallucinate or otherwise provide incorrect answers. It is a tool intended only as a supplement to your independent judgement and consultation with a doctor or other qualified healthcare professional.

All AI output is provided “as is” and with all faults. We make no representations or warranties of any kind with respect to any output, including warranties of accuracy, completeness, truthfulness, timeliness, or suitability, and to the extent permitted by law we bear no liability to you or anyone else arising from or relating to your use of it.

10

Questionnaires & Summaries

Caire can administer recognised wellbeing questionnaires, including PHQ-9, GAD-7, PSS-10, WHO-5, OLBI, and Mini-Z 2.0. These are self-report questionnaires. Completing one is not an assessment, and Caire does not interpret your answers.

You see your raw score. A score on any of these questionnaires is a number and a published range, not a finding about you. Only a qualified clinician can tell you what it means in your case. Scores depend entirely on what you report on the day and are not a measurement of anything objective.

The summary you can export is a factual record of what you reported and what your data showed, written so you can hand it to a GP or counsellor. It records that you reported something. It does not say what that something indicates, and no clinician has reviewed it. You decide whether to share it and with whom, and any clinician receiving it will form their own view.

11

Safety Features & Their Limits

Caire includes features intended to help in difficult moments. You need to know what they do and, more importantly, what they cannot do.

  • Crisis resources: If the chat detects language suggesting crisis, it shows emergency contacts for your country. Detection is imperfect, will miss things, and will sometimes trigger when nothing is wrong. It is not monitoring and nobody is notified.
  • Stress detection: If you connect a smartwatch, Caire may notice a sustained raised heart rate and offer a breathing exercise. This is not cardiac monitoring, will not detect a heart problem or any other medical condition, may miss genuine events, and must never be relied on for any of those things.
  • Trusted contact: You can nominate someone and give them a way to reach you. They must agree by email first. Caire does not contact them on your behalf, does not alert them in an emergency, and does not monitor whether you are safe.

None of these is an emergency service and none of them summons help. Caire cannot call anyone for you. In an emergency, contact emergency services yourself.

12

User Responsibilities & Assumption of Risk

By using the Services, you acknowledge and accept that:

  • Your decisions are your own: You are solely responsible for actions and decisions you take based on anything Caire shows you, and for their consequences.
  • Voluntary use and assumption of risk: Your use is entirely voluntary and at your own risk. You accept the risk that scores, insights, and AI output may be wrong, and that acting on them may not produce the result you wanted.
  • Independent verification: You will check anything that matters to your health with a qualified professional before acting on it.
  • No crisis reliance: You will not rely on Caire as your sole or primary resource in a crisis, and you will not use it in place of emergency services.
  • Professional care: You will seek appropriate professional care for any diagnosed or suspected condition, and will continue any treatment you are already receiving unless a clinician tells you otherwise.
  • Physical activity: If you act on a suggestion involving exertion, you accept the ordinary risks of that activity and confirm you are fit to do it.
13

Acceptable Use

You agree not to use the Services to:

  • Violate law or regulation
  • Harass, threaten, exploit, or harm any person
  • Generate content promoting violence, self-harm, or illegal activity
  • Bypass safety controls, or probe, scan, or test the vulnerability of our systems
  • Manipulate, exploit, or interfere with any AI or automated system used in the Services, including through prompt injection, adversarial inputs, or any technique designed to alter its intended behaviour
  • Abuse support or communication channels to attempt unauthorised access, extract system information, or interfere with service operations
  • Use automated means to access the Services, or place unreasonable load on our infrastructure
  • Use the Services on behalf of minors under 18
  • Represent AI output as human professional advice
  • Submit health data about another person without their knowledge and agreement
  • Use the Services, or their output, to build or train a competing product or model
  • Collect usernames, email addresses, or other data about other users by any means, or send them unsolicited communications
  • Introduce malware, or do anything that may harm or degrade the reliability, speed, or operation of the Services or any underlying hardware or software
  • Use web scraping, web harvesting, or data extraction methods on the Services, even with an account owner’s permission
  • Modify, translate, adapt, merge, make derivative works of, disassemble, decompile, or reverse engineer the Services, except to the extent this restriction is prohibited by applicable law
  • Frame any part of the Services, use metatags or hidden text using our name or trademarks, or remove or obscure any copyright or proprietary notice
  • Use the Services commercially, or on behalf of a third party, without our written agreement

One account per person. Free access, trials, waitlist places, referral rewards, and promotional offers are for genuine use. You agree not to create multiple, duplicate, or successive accounts, including through email aliases, address variations, or misrepresented identities, to evade usage limits, waitlists, or eligibility rules, or to obtain repeated trials, referral rewards, or promotions you would not otherwise qualify for. We may monitor for, investigate, and act on conduct we reasonably consider to breach this section, including by consolidating, restricting, or terminating the affected accounts.

We may suspend, restrict, or terminate access at any time for violations, abuse, safety risk, legal compliance needs, or suspected minor access, and we may do so without notice where the circumstances warrant it.

14

Monitoring & Enforcement

We are not obliged to review, screen, pre-screen, or monitor anything you submit. The fact that content exists in the Services is not an indication that we have seen it or approved it. How we handle your conversations is set out in our Privacy Policy.

We do reserve the right, where we have a specific and lawful reason, to:

  • Investigate suspected breaches of these Terms, fraud, abuse of the Services, or threats to the safety of any person
  • Remove or refuse content that breaches these Terms, infringes someone’s rights, or creates a risk of harm
  • Suspend or terminate an account, with notice where that is practical
  • Take legal action, and cooperate with law enforcement or a regulator where the law requires it or where someone’s safety is at stake

Any access of this kind is limited to what the specific reason requires, is logged, and is governed by our Privacy Policy.

15

If You Found Caire Through an Organisation

You may have found Caire through your employer, your university, or a health service. However you arrived, you sign up directly with us under these Terms, and your account is yours.

That organisation does not see your scores, your chats, your questionnaire answers, or your health data. Where we report to a partner organisation, we report group-level figures only, and only where the group is large enough that no individual can be identified.

If that ever changes for a specific programme, we will tell you before you join it and ask for your consent separately. Your access to Caire does not depend on giving it.

You pay nothing. Where an organisation funds access, it pays us and you do not. You are never asked for payment details, and no fee is ever charged to you for the Services covered by that arrangement.

Two separate agreements. We sign a separate written contract with the organisation covering fees, term, and the commercial relationship between us and them. These Terms govern your use of Caire and are the only agreement between you and us. That contract does not give the organisation any right over your account, your data, or anything you write, and nothing in it can override what these Terms and our Privacy Policy say about your privacy.

We decide how your data is handled, not them. For data protection purposes Caire is an independent controller of your personal data, not a processor acting on the organisation’s instructions. The organisation cannot instruct us to hand over your data, retain it, or delete it, and it has no right of access to it.

If the organisation stops funding it, you keep your account. When an organisation’s contract with us ends, or you leave that organisation, your Caire account continues as a free personal account. Your history, your scores, and everything you have written stay with you. Any features that organisation was specifically paying for may stop, and we will give you notice where that is practical. You do not need to do anything to keep your account, and you can delete or export it at any time.

Caire is not a substitute for any occupational health service, employee assistance programme, or clinical service your organisation provides, and we are not responsible for the acts or omissions of any organisation through which you found us.

16

Content, Data & AI Processing

Your content: We do not claim ownership of your content. Subject to your settings and consent choices, you grant us a perpetual, worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable, and transferable right and licence (including in respect of any moral rights) to use, copy, reproduce, modify, adapt, prepare derivative works from, translate, distribute, and display your content, and to derive revenue or other remuneration from it, for the purposes of operating, providing, improving, and developing the Services, and, solely in aggregate and de-identified form, to train our models. We may keep copies of your content for backup, security, or maintenance purposes, or as required by law.

We run our own model: Caire’s language model runs on Caire’s own servers. Your conversations are not sent to a third-party model provider, and no third party receives your messages in order to train a model.

Training policy: Your identifiable conversations and health data are not used to train or fine-tune any model, including our own, unless you opt in, and you can opt out again at any time. We may use aggregated or de-identified data, which no longer identifies you, to train our models and to develop and improve the Services.

Health data is sensitive: Health and wearable data is treated as special-category data under UK GDPR. We read it only with your explicit, separate consent.

Data residency: Customer data is primarily stored in the United Kingdom. Some providers may process data in the US, UK, or EU, subject to contractual and legal safeguards for cross-border transfers.

Retention: Account data is retained while your account is active. Deleted chats are retained up to 30 days. Health and wearable data is kept for a maximum of 12 months from the last reading. After an account deletion request, account data is removed within 30 days, with backups and logs purged on a rolling basis. Full detail is in our Privacy Policy.

17

Availability, Changes & Storage

No guarantee of availability: The Services are provided on an “as available” basis. We do not promise that they will be uninterrupted, timely, secure, or error-free. They may be unavailable for maintenance, updates, provider outages, or reasons outside our control.

We may change the Services: We may add, alter, suspend, or remove any feature, metric, score, or integration at any time, with or without notice, and without liability to you. Features described in these Terms may not be available on every platform, and availability differs between web, iOS, and Android.

Beta features: Some features are experimental and may be labelled as such. They may be incomplete, may behave unpredictably, may be withdrawn, and are provided without any warranty at all.

We are not a backup service: We have no obligation to store your content indefinitely, and we may set reasonable limits on storage and processing. We are not responsible for the deletion, corruption, or failure to store or transmit any content. If something you have written matters to you, keep your own copy. You can export your data at any time from Settings.

Data on your device: Content held only on your device, including your journal and cycle tracking, is not backed up by us and cannot be recovered by us. It is lost if you uninstall the app, reset the device, or lose it.

18

Disclaimer of Warranties

To the maximum extent permitted by law, the services and everything in them are provided “as is” and “as available”, without warranty of any kind, express or implied.

We disclaim all implied warranties and conditions, including satisfactory quality, fitness for a particular purpose, non-infringement, accuracy, and any warranty arising from a course of dealing or trade usage.

Without limiting that, we do not warrant that:

  • Any score, insight, measurement, or AI output is accurate, complete, current, reliable, or suitable for you
  • The Services will meet your requirements or produce any particular outcome for your wellbeing, mood, sleep, or health
  • The Services will be available, uninterrupted, timely, or free of errors, defects, or harmful components
  • Any error or defect will be corrected
  • Data supplied by a Third-Party Source is accurate, complete, or delivered on time

No advice or information, whether oral or written, obtained from us or through the Services, creates any warranty not expressly stated here.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

19

Limitation of Liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

Subject to that, and to the maximum extent permitted by law:

  • We are not liable for any loss or harm arising from your use of, or reliance on, the Services or anything in them, including scores, insights, measurements, suggestions, and AI output.
  • We are not liable for any health or safety outcome, including a condition that went undetected, an emergency that was missed, a deterioration in your health, or a failure to obtain professional care.
  • We are not liable for the acts, omissions, data, accuracy, or availability of any Third-Party Source, any organisation through which you found Caire, or anyone you choose to share your information with.
  • We are not liable for loss or corruption of data or content, or for any failure to store or transmit it.
  • We are not liable for indirect, incidental, consequential, exemplary, special, or punitive loss, or for lost profits, revenue, opportunity, goodwill, anticipated savings, or business interruption, however arising.
  • Our total aggregate liability for all claims arising in any 12-month period, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, is limited to the greater of the fees you paid us in that period or £100.

Time limit for claims: To the extent permitted by law, any claim arising out of or relating to these Terms or the Services must be brought within 12 months of the date you first became aware, or reasonably should have become aware, of the circumstances giving rise to it. After that, the claim is permanently barred.

Foreseeable loss only: We do not accept responsibility for any loss or damage that was not caused by our breach of these Terms, or that was not a reasonably foreseeable consequence of that breach at the time you agreed to them. Loss is foreseeable if it was obvious that it would happen, or if you told us it might happen before you agreed.

If the law of your country would strike out the limits above entirely, those limits are replaced by the foreseeable-loss limitation in the preceding paragraph, together with the non-excludable carve-outs at the start of this section.

These limits apply even if we have been advised of the possibility of the loss, and even if a limited remedy fails of its essential purpose. They survive termination.

The limitations in this section are a fundamental basis of the bargain between you and Caire, and reflect the allocation of risk for a service provided to you at low or no cost. Without them we would not provide the Services.

Nothing in these Terms affects your statutory rights as a consumer.

20

Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Caire and its affiliates, officers, directors, employees, agents, suppliers, and licensors from claims, actions, demands, liabilities, losses, and expenses (including reasonable legal and accounting fees) arising out of or related to:

  • Your use or misuse of the Services
  • Your violation of these Terms or applicable law
  • Your content, instructions, or reliance on AI output
  • Health data you submitted about another person without their agreement
  • Claims brought by third parties related to your account activity

You agree to cooperate with any reasonable request for assistance in defending such a matter. We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, at your expense.

21

Intellectual Property

We and our licensors own all rights in the Services, including software, models, systems, scoring methods, branding, and content, excluding what you write and log. The Services are protected by intellectual property rights, including patent, trademark, copyright, and database rights.

Subject to your compliance with these Terms, we grant you a personal, revocable, non-exclusive, non-transferable, non-sublicensable licence to use the apps and the Services solely for your own personal use in the manner these Terms permit, and nothing more. You must not sell, transfer, assign, rent, sublicense, host, modify, make derivative versions of, distribute, or otherwise commercially exploit any part of the Services except with our prior written permission.

Some software components are provided under open source licences, which we will make available on request. Where an open source licence expressly overrides any of these Terms, it does.

Feedback you submit may be used by us without restriction, attribution, or compensation.

22

Suspension & Termination

By you: You may stop using the Services and delete your account at any time, from Settings.

By us: We may suspend or terminate access, or discontinue the Services entirely, for Terms violations, legal requirements, safety concerns, abuse, suspected minor access, or any other reason at our discretion. Where practical we will give notice. We are not liable to you for doing so.

On termination your licence ends immediately and you should export anything you want to keep. Provisions that by nature survive termination, including the disclaimers, liability limitations, indemnification, and dispute resolution, will survive.

23

Governing Law & Disputes

Talk to us first: Before starting formal proceedings, you agree to contact us at contact@caire.dev and give us 30 days to try to resolve things informally. Most problems can be sorted out this way.

Governing law: These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, including non-contractual disputes or claims, are governed by the law of England and Wales. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Courts: The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident in the EU, Scotland, or Northern Ireland, you may bring proceedings in your local courts, and the mandatory consumer protection law of your country of residence continues to apply.

Individual claims only: To the maximum extent permitted by law, you and Caire each agree to bring any claim against the other only in an individual capacity, and not as a claimant or class member in any purported class, collective, consolidated, group, or representative proceeding. You waive any right to participate in such a proceeding against us, and no arbitrator, court, or tribunal may consolidate more than one person’s claims without our written consent. If this paragraph is held unenforceable in your jurisdiction, it does not apply to you, and the remainder of this section continues to apply.

Data protection complaints: You can complain to a data protection authority at any time without contacting us first. In the UK that is the Information Commissioner’s Office, at ico.org.uk.

24

General Provisions & Contact

Entire agreement and non-reliance: These Terms and the Privacy Policy are the entire agreement between us regarding the Services. You confirm that you have not relied on any statement, promise, or representation not set out in them, including anything in our marketing, app store listing, or social media.

Events outside our control: We are not liable for any failure or delay caused by something beyond our reasonable control, including outages at a hosting or infrastructure provider, failures of a Third-Party Source, network or power failure, cyber attack, industrial action, or act of government.

If any provision is held unenforceable, it is severed and the remainder stays in effect.

Our delay or failure to enforce any provision is not a waiver of it.

You may not assign or transfer rights under these Terms without our consent. We may assign these Terms, including to a purchaser of our business, without restriction.

Third-party distribution channels: Our apps may be made available through the Apple App Store, Google Play, or other distribution channels. If you obtain the apps through a distribution channel, you may be subject to its additional terms, and you must comply with its usage rules. These Terms are between you and us only, not with Apple Inc. or Google; as between us and them, we, not they, are solely responsible for the Services, and they have no obligation to provide any maintenance, support, or warranty for them. You acknowledge that Apple and its subsidiaries are third-party beneficiaries of these Terms in respect of Apple-sourced apps, with the right to enforce them against you.

Except as set out in the preceding paragraph, no third party has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

Communications and notice: We communicate with you electronically, in the app and by email, and you agree that this satisfies any legal requirement for communications to be in writing. Keep a valid email address on your account. If the address you give us stops working, a notice we send to it still counts as delivered. Notices to us go to contact@caire.dev and take effect when we receive them.
